A crypto venture investment can combine shares in an operating business with a contractual right to acquire tokens later. The instruments need separate analysis. A promising company does not establish that a token will launch, that the company can deliver it or that the investor will receive the economic exposure assumed in the investment model.

The LexDAO token warrant template provides a concrete example of provisions covering exercise, network tokens and lockups. It is an example document, not a universal market standard or a legal conclusion about a particular transaction. An investment committee should examine the signed instrument and the proposed issuer structure rather than rely on the label token warrant.

Identify the actual obligor

Begin with the party promising delivery. The operating company may be developing software while a separate entity is expected to issue tokens. Determine whether that entity is bound by the warrant, whether the company must procure delivery and what remedy exists if it cannot. A commercial expectation about future cooperation is weaker than a documented obligation.

Prepare a simple entity map showing equity ownership, intellectual property, development responsibilities and token issuance responsibilities. Explain what happens if a foundation is established later or if the project reorganises. The diligence file should also identify which decisions remain outside the company's control. This is a contingent claim whose dependencies need to be visible before funding.

Model the allocation formula

A percentage needs a denominator. It might refer to total network supply, a company allocation or a pool defined elsewhere in the documents. Those descriptions can produce materially different outcomes. Calculate the investor's entitlement using the actual definitions, including exclusions and adjustments for subsequent issuance.

For an illustrative exercise, assume a warrant refers to a share of an issuer allocation rather than a share of all tokens. Reduce that allocation in a second scenario and show the resulting entitlement. Then test whether later inflation changes the denominator or the number deliverable. The purpose is to expose sensitivity, not to forecast token prices before a market exists.

Read the trigger and the expiry together

Identify the event that makes the warrant exercisable and the evidence that the event has occurred. A network launch, token creation and unrestricted trading need not happen together. Check whether a launch through an affiliate, replacement network or successor token falls inside the instrument's definitions.

Next examine expiry, notice periods and exercise procedures. A right that requires action can fail operationally if the investor misses a notice or cannot arrange payment and custody in time. Assign ownership of the exercise calendar before closing. The committee should understand the no-launch outcome as clearly as the successful-launch outcome.

Separate delivery from liquidity

Exercise does not necessarily create immediately saleable tokens. Review contractual lockups, onchain vesting, transfer approval, jurisdictional restrictions and custody support. Each can delay or limit practical access after delivery. If participation or voting is permitted during a lockup, verify that permission in the relevant agreement and implementation.

The LexDAO example includes a prohibition on certain transfers of locked tokens while permitting specified network participation. That illustrates why the actual language matters. Prepare administration before the token exists

The fund should decide how it records the contingent claim, monitors amendments and evaluates an eventual exercise. Accounting treatment requires analysis of the instrument rather than classification by marketing name. INX's 2024 token warrant disclosures show a company reporting warrant liabilities and valuation inputs in a particular compensation context. That example is not a template for every venture fund.

A reviewable investment file contains the allocation model, obligor map, trigger definitions, exercise responsibilities and delivery restrictions.
